Terms of Service

1. Directory-only service

CPA Acquire is a listing directory only. CPA Acquire does not broker transactions, negotiate terms, provide valuation advice, provide CPA/legal/tax advice, hold funds, provide escrow, prepare transaction documents, transfer client files, or facilitate closings. Buyers and sellers are responsible for their own diligence, advisors, regulatory compliance, documents, negotiations, and closing process.

CPA Acquire ("CPA Acquire," "we," "us") operates an online listing directory that allows sellers to publish confidential listings of accounting practices for sale and allows buyers to browse, save, and request access or contact. CPA Acquire is not a business broker, dealer, investment adviser, law firm, accounting firm, or escrow agent.

The legal entity operating CPA Acquire has not yet been identified in this document. Until it is, these terms describe how the service works but do not name a contracting party — see the notice above.

2. No professional advice

Nothing on CPA Acquire constitutes legal, tax, accounting, CPA, regulatory, valuation, or investment advice. CPA ownership, attest, independence, client-consent, firm-name, and state board of accountancy rules may apply to a transaction. You are solely responsible for obtaining your own professional advisors.

3. Seller responsibilities

• You are solely responsible for the accuracy and completeness of your listing.
• You must not upload client PII, tax returns, Social Security numbers, EINs/tax IDs, bank statements, payroll files, or confidential client records.
• You are responsible for professional, legal, client-consent, licensing, independence, firm-name, and state board compliance.
• You control which buyers receive access to gated details and accept that all engagement occurs off-platform.

4. Buyer responsibilities

• You are responsible for your own diligence, financing, licensing, and compliance.
• You must keep confidential information received through CPA Acquire confidential and use it only to evaluate a potential acquisition.
• You acknowledge CPA Acquire does not represent, recommend, rank, or vouch for any buyer or seller.

5. No transaction facilitation

CPA Acquire does not negotiate terms, prepare letters of intent, asset purchase agreements, or other transaction documents, transfer client files, hold or transmit funds, provide escrow, or facilitate any closing. Any agreement is solely between the buyer and seller.

6. Fees

CPA Acquire charges subscription fees for listing and optional buyer tools. CPA Acquire does not charge success fees, referral fees, or commissions.

7. Acceptable use

You agree not to misuse the platform, post misleading content, scrape data, or attempt to identify confidential sellers outside the access process.

8. Disclaimers and limitation of liability

The service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, CPA Acquire is not liable for any damages arising from listings, communications, or transactions between users.

9. Changes

We may update these Terms from time to time. Continued use constitutes acceptance.
